1. Introduction

These Terms of Use (“Terms”) govern access to and use of the BalanceChain Value Transfer Ecosystem, including the BioVault PWA (MSL), SCL interfaces, on-chain gateway tools, documentation, and related software (collectively, the “Platform”).

The Platform is operated by BioVault Software Solutions (“we”, “us”, “our”).

By accessing or using the Platform, you agree to these Terms.

2. Nature of the Platform

BalanceChain is:

• a protocol framework
• a value-transfer infrastructure
• a ledger and settlement architecture

BalanceChain is not:

• a bank
• a financial institution
• a money service business
• a currency issuer
• an investment platform

No funds are held or custodied by us.

3. Eligibility

You may use the Platform if:

• you are legally permitted to do so in your jurisdiction
• you comply with applicable laws and regulations
• you understand that availability depends on jurisdiction and integration context

Institutional and regulated deployments require separate agreements.

4. User Responsibilities

You are solely responsible for:

• safeguarding your device, credentials, biometric access, and backups
• all actions executed using your device or wallet
• compliance with local laws, including financial and digital asset regulations

Loss of access keys, devices, or credentials cannot be reversed by us.

5. No Financial Advice

Nothing on the Platform constitutes:

• financial advice
• legal advice
• investment advice
• tax advice

All examples are illustrative only.

6. Protocol Availability

Features may be:

• experimental
• jurisdiction-restricted
• subject to change or removal
• dependent on third-party infrastructure (wallets, blockchains, devices)

We make no guarantee of uninterrupted availability.

7. On-Chain Interactions

When interacting with blockchain networks:

• transactions are irreversible
• network fees may apply
• third-party smart contracts and wallets are governed by their own terms

We do not control external networks.

8. Intellectual Property

All Platform software, documentation, and branding are owned by or licensed to BioVault Software Solutions.

You may not copy, modify, or redistribute without permission.

9. Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

• loss of data
• loss of access
• economic loss
• third-party failures
• regulatory actions
• misuse of the Platform

Use is at your own risk.

10. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance.

11. Governing Law

These Terms are governed by applicable laws based on deployment jurisdiction and contractual context.
